Legal Requirements for Accounting and Maintaining Books of Accounts in India
A. Under the Income Tax Act
- Under Section 44AA of the Income Tax Act, specified persons are required to maintain prescribed books of accounts.
- Under Section 44AB, tax audit requirements apply when the business turnover or other prescribed conditions cross the applicable limits. Proper books of accounts are required for conducting such audits.
B. Under the Companies Act, 2013
- Every company is required to maintain books of account, relevant books and papers, and financial statements at its registered office. These records should provide a true and fair view of the company’s financial position, including its branch offices, where applicable.
- Books of accounts are required to be maintained on an accrual basis and according to the double-entry system of accounting under Section 128(1).
- Companies are required to file applicable audited financial statements and audit reports with the ROC annually.
- Companies must also comply with the applicable Accounting Standards issued by the Institute of Chartered Accountants of India.
- Books of accounts and relevant records are required to be preserved for a minimum period of 8 years.
- Non-Compliance Penalty: Under Section 128(6), the managing director, whole-time director in charge of finance, Chief Financial Officer, or another person responsible for compliance may face imprisonment of up to one year, a fine ranging from ₹50,000 to ₹5 lakh, or both, for contravening the applicable provisions.
C. Under the GST Act
Section 35 requires every registered person to maintain true and correct records relating to various business and tax transactions, including:
